JPMorgan Chase, the largest bank in the United States, has deposited N50 billion with the Central Bank of Nigeria (CBN) as part of its efforts to obtain a licence to operate a merchant bank in Nigeria.

The deposit, valued at approximately $38 million, fulfils a major capital requirement for the proposed operation, according to Bloomberg. However, the payment does not automatically secure regulatory approval, as the CBN has yet to reach a final decision on the application.

Bloomberg reported that JPMorgan is targeting approval by the end of 2026 or the beginning of 2027, depending on the outcome of the regulatory process.

JPMorgan Targets Expansion into Nigeria’s Wholesale Banking Market

The proposed licence would represent a major step in JPMorgan’s Nigerian operations. The bank has maintained a presence in the country through its Lagos representative office, advising successive governments and leading companies on Eurobond issuances and other significant financial transactions.

Under the CBN’s banking recapitalisation requirements, merchant banks with national authorisation must maintain a minimum paid-up capital of N50 billion. JPMorgan’s deposit suggests that the financial institution is preparing to establish a locally licensed wholesale banking business rather than a full-service commercial bank.

With regulatory approval, the bank could expand beyond its existing advisory activities into areas such as corporate finance, treasury management and capital markets transactions, subject to the conditions of its licence.

Nigerian Businesses Could Gain Access to Global Financing

JPMorgan’s potential entry could widen financing opportunities for major Nigerian businesses by connecting them with international investors, structured financial products and global capital markets.

The bank has participated in advisory work involving Nigerian sovereign and corporate Eurobond transactions over the years. Securing a local licence could strengthen its ability to serve domestic companies and institutions while giving it a more direct role in the country’s financial sector.

The application also reflects JPMorgan’s broader interest in expanding its African operations, particularly in trade finance, lending, payments and corporate banking.

As part of its regional growth strategy, the bank has made several appointments, including Edward Bell as head of investment banking in sub-Saharan Africa, Sailepu Montet as head of its Kenya office, and Michael Ahonzo Avou to oversee its operations in Côte d’Ivoire.

Competition in Nigeria’s Banking Sector Could Intensify

A merchant banking licence would mark a departure from the representative-office model JPMorgan has operated in Lagos for decades. It would provide the bank with a more substantial local platform, although the extent of its activities would depend on the regulator’s approval and licensing conditions.

Its potential entry could increase competition in wholesale banking, especially for multinational corporations, major domestic businesses, financial institutions and government-related clients.

JPMorgan’s international network, balance-sheet capacity and capital markets expertise could strengthen its position in large financing deals and corporate banking services. This could create additional competition for Nigerian banks and other international financial institutions serving the same market.

Nigeria’s Economic Reforms Provide the Backdrop

The application comes as Nigeria continues to implement foreign exchange reforms and pursue measures to improve external balances and rebuild investor confidence.

JPMorgan’s decision to commit the required capital indicates an interest in opportunities within Nigeria’s corporate and capital markets. However, currency fluctuations and wider economic uncertainties remain important considerations for foreign investors.

JPMorgan declined to comment on the application, while the CBN had not immediately responded to a request for comment, Bloomberg reported.

The next major step is the CBN’s decision on the application. If approved, the licence would enable JPMorgan to move beyond its longstanding advisory presence and establish a locally authorised wholesale banking operation, potentially expanding financing options for Nigerian businesses and strengthening their access to international capital markets.
